Welcome to SpreadB. These Terms and Conditions ("Terms") govern your access to and use of the SpreadB mobile application ("App"), operated by SpreadB ("we," "our," or "us"). By downloading, accessing, or using the App, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use the App.

1. Eligibility

You must be at least 13 years of age (or the applicable age of consent in your jurisdiction) to use the App. By using the App, you represent and warrant that you meet the eligibility requirements and have the legal capacity to enter into these Terms. If you are using the App on behalf of a business entity, you represent that you have the authority to bind that entity to these Terms.

2. Account Registration

• You must create an account to use the App. You agree to provide accurate, current, and complete information during registration.
• You are responsible for maintaining the confidentiality of your account credentials (email and password) and for all activities that occur under your account.
• You agree to notify us immediately of any unauthorized access to or use of your account.
• You may register as either a Brand (business seeking influencers for campaigns) or an Influencer (content creator offering promotional services).
• We reserve the right to suspend or terminate accounts that contain inaccurate, fraudulent, or misleading information.

3. Use of the App

3.1 Permitted Use

The App is designed to connect brands and influencers for marketing collaborations. You may use the App to:

• Create and browse promotional campaigns.
• Apply for campaigns and manage applications.
• Communicate with other users via in-app messaging.
• Submit work deliverables (images, videos, documents, and URLs) for campaign fulfillment.
• Create and manage collaboration agreements.
• Purchase and use Sticks (in-app currency) for boosting applications and other features.
• Access AI-powered customer support.

3.2 Prohibited Use

You agree not to:

• Use the App for any illegal, harmful, or fraudulent activity.
• Impersonate another person or entity, or falsely represent your affiliation with any person or entity.
• Submit false, misleading, or deceptive content, profiles, or campaign information.
• Harass, abuse, threaten, or intimidate other users through in-app messaging or any other feature.
• Upload or transmit viruses, malware, or any harmful code.
• Attempt to reverse-engineer, decompile, or disassemble the App or its underlying technology.
• Circumvent, disable, or interfere with any security features of the App.
• Scrape, data mine, or extract data from the App through automated means.
• Use the App in any manner that could damage, disable, or impair the App's functionality.
• Create multiple accounts for fraudulent purposes or to manipulate the platform.

4. In-App Currency (Sticks)

• Sticks are a virtual, in-app currency used within SpreadB to boost campaign applications and access premium features.
• Sticks can be purchased through the App using real money via Razorpay (supporting UPI, credit/debit cards, wallets, and netbanking).
• Sticks have no real-world monetary value and cannot be exchanged for cash, refunded, or transferred to another user, except as explicitly provided within the App.
• All purchases of Sticks are final and non-refundable, except where required by applicable law.
• We reserve the right to modify the pricing, availability, and functionality of Sticks at any time with prior notice.
• Sticks balances may be forfeited if your account is terminated for violation of these Terms.

5. Payments and Financial Transactions

• All payment processing is handled by Razorpay, a PCI DSS-compliant third-party payment gateway. We do not directly store your full credit card or debit card information.
• By making a purchase, you agree to Razorpay's terms of service and privacy policy.
• You may add bank account details for receiving payouts. You are solely responsible for providing accurate banking information.
• Bank details are verified via email-based OTP verification for security.
• We are not liable for any errors, delays, or issues arising from incorrect banking information provided by you.

6. User Content

6.1 Ownership

You retain ownership of all content you submit through the App, including profile information, campaign details, messages, work submissions (images, videos, documents), and other materials ("User Content").

6.2 License Grant

By submitting User Content, you grant SpreadB a non-exclusive, worldwide, royalty-free, sublicensable license to use, display, reproduce, and distribute your User Content solely for the purpose of operating and providing the App's services. This license terminates when you delete your User Content or your account, except where the content has been shared with other users or is required for legal compliance.

6.3 Content Standards

You agree that your User Content will not:

• Be defamatory, obscene, abusive, or otherwise objectionable.
• Infringe upon the intellectual property rights of any third party.
• Contain any material that is illegal or promotes illegal activity.
• Contain personal information of others without their consent.

We reserve the right to remove any User Content that violates these Terms without prior notice.

7. Campaigns and Agreements

• Brands may create promotional campaigns specifying requirements, compensation (in Sticks or otherwise), target platforms, and deadlines.
• Influencers may apply to campaigns, and brands may approve or reject applications at their discretion.
• Users may enter into collaboration agreements through the App. These agreements are between the Brand and the Influencer. SpreadB acts solely as a platform facilitator and is not a party to any agreement between users.
• SpreadB does not guarantee the quality, accuracy, or fulfillment of any campaign or collaboration.
• Disputes between users regarding campaigns or agreements should be resolved between the parties. SpreadB may, at its sole discretion, provide mediation support but is under no obligation to do so.

8. Intellectual Property

• The App, including its design, logos (SpreadB branding), code, features, and all related intellectual property, is owned by SpreadB and protected by copyright, trademark, and other intellectual property laws.
• You are granted a limited, non-exclusive, non-transferable, revocable license to use the App for personal or business use in accordance with these Terms.
• You may not copy, modify, distribute, sell, or lease any part of the App without our prior written consent.

9. Account Suspension and Termination

• We reserve the right to suspend or terminate your account at any time, with or without notice, for conduct that we determine violates these Terms or is harmful to other users, us, or third parties.
• You may delete your account at any time through the App's Profile settings. Upon deletion, your personal data will be removed in accordance with our Privacy Policy.
• Upon termination, your right to use the App ceases immediately, and any unused Sticks in your account may be forfeited.

10. Disclaimers

• The App is provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, whether express or implied.
• We do not warrant that the App will be uninterrupted, error-free, secure, or free from viruses or other harmful components.
• We do not endorse, verify, or guarantee the identity, claims, or content of any user on the platform.
• We are not responsible for any interactions, transactions, or disputes between users.

11. Limitation of Liability

To the fullest extent permitted by applicable law, SpreadB and its directors, employees, partners, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill, arising out of or in connection with your use of the App, regardless of the cause of action or theory of liability.

Our total liability to you for all claims arising from or related to the use of the App shall not exceed the amount you have paid to us in the twelve (12) months preceding the claim.

12. Indemnification

You agree to indemnify, defend, and hold harmless SpreadB and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with your access to or use of the App, your User Content, or your violation of these Terms.

13. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions. Any disputes arising from or relating to these Terms or the use of the App shall be subject to the exclusive jurisdiction of the courts located in India.

14. Changes to These Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms within the App and updating the "Last Updated" date. Your continued use of the App after any changes constitutes your acceptance of the revised Terms. If you do not agree with the updated Terms, you must stop using the App and delete your account.

15. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect.

16. Entire Agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and SpreadB regarding your use of the App and supersede any prior agreements.
